In these terms and conditions, the following definitions apply:
1.1 Double Digits: the private limited company Double Digits, established at Meester D.U. Stikkerstraat 10, 2.07, 6842CW Arnhem and registered in the Trade Register of the Chamber of Commerce under number 98734490.
1.2 Client: the legal entity that enters into, or wishes to enter into, an agreement with Double Digits.
1.3 Agreement: any agreement, as well as (legal) acts in preparation for and in performance thereof, with the aim of having the assignment carried out by Double Digits on behalf of the client.
1.4 Services: all services and/or products offered by Double Digits and to be performed for the purpose of the agreement.
1.5 Assignment: the end result the client wishes to achieve, for which the services of Double Digits are required.
1.6 Parties: Double Digits and the client together.
1.7 In writing: all written communication, including communication by e-mail and digital messaging (existing and yet to be developed), provided that the identity of the sender, the authenticity of the content of the message and the receipt of the communication by the recipient are sufficiently established and can be demonstrated.
Article 2. Applicability of the terms and conditions
2.1 These terms and conditions apply to every offer made by Double Digits and to every agreement concluded between Double Digits and the client.
2.2 These terms and conditions may not be deviated from, unless the parties expressly agree otherwise in writing.
2.3 Any purchasing or other (general) terms and conditions of the client are expressly rejected.
2.4 If there is any ambiguity regarding the interpretation of one or more provisions of these terms and conditions, the interpretation shall be made ‘in the spirit’ of these provisions.
2.5 If a situation arises between the parties that is not covered by these terms and conditions, this situation shall be assessed ‘in the spirit’ of these terms and conditions.
2.6 If the provisions of the terms and conditions and the agreement differ, the provisions of the agreement shall prevail.
2.7 The most recent version of the terms and conditions of Double Digits applies. Double Digits may unilaterally amend and supplement these terms and conditions at any time, without prior notice and without stating reasons. Amendments shall also apply to agreements already concluded. Double Digits will provide the client with the most recent version of the terms and conditions.
2.8 If one or more provisions of these terms and conditions are at any time declared wholly or partially null and void, or are annulled, the remaining provisions of these terms and conditions shall remain fully applicable. The parties will consult with each other to agree on a new provision to replace the void or annulled provision, taking into account the purpose and intent of the original provision as much as possible.
2.9 If Double Digits, on its own initiative, deviates from these terms and conditions in favour of the client, the client can never derive any rights from this. The deviation shall apply on a case-by-case basis only and therefore does not constitute a deviation for the entire assignment and/or agreement, now or in the future.
Article 3. Privacy
3.1 The work carried out by Double Digits is based on data from Google tools, log files and CRM systems. Double Digits will at all times handle the data provided by the client with care, but has no authority or control over the security of external platforms.
3.2 If Double Digits receives personal data, this data will be treated confidentially and Double Digits will endeavour to secure the data it stores for the client in such a way that it is not accessible to unauthorised persons.
3.3 Personal data provided by the client will only be processed for the purpose of providing the agreed services to the client and for related communication.
Article 4. Intellectual property rights
4.1 Double Digits is the holder of all current and future intellectual property rights, as well as the related civil rights, relating to its trade name, logo and website. The foregoing may not be used, reproduced or copied (in whole or in part) without the permission of Double Digits, unless otherwise agreed in writing.
4.2 The services of Double Digits and the products resulting from them are not protected under intellectual property law; however, under civil law the client is not permitted to share them with third parties or competitors of Double Digits.
4.3 The agreement concluded between the parties and/or any permission granted by Double Digits to use the matters referred to in paragraph 1 of this article never constitutes a transfer of rights and may not be regarded as such.
4.4 If the client wishes to have the services and/or results arising from the services of Double Digits used by a third party, this must be communicated to Double Digits in advance. The client must also have obtained permission from Double Digits, for which additional costs may be charged.
4.5 The client retains all ownership and rights to the content, images and data supplied by the client.
4.6 Neither party is permitted to use the respective property and rights of the other party, including but not limited to reproducing, copying or exploiting them, unless otherwise agreed in writing.
4.7 The client is expressly prohibited from recruiting, seizing, acquiring or applying for rights that belong to Double Digits. If this occurs, the client must immediately inform Double Digits and cooperate fully in the transfer of the acquired right.
4.8 If the client infringes the intellectual property rights and other rights to which Double Digits is entitled on the basis of the services and assignments it has delivered, Double Digits shall be entitled to compensation equal to the damage suffered.
Article 5. Services
5.1 The services offered by Double Digits relate to digital marketing consultancy with a focus on SEO, providing strategic advice, technical analyses, SEO implementations, automations, dashboarding and collaboration with internal or external development teams.
5.2 The services referred to in paragraph 1 of this article are provided on a customised basis per client within complex digital ecosystems (such as news publishers, e-commerce platforms and international domain networks).
5.3 The services will be performed in accordance with what has been agreed in the agreement, with the agreement being leading.
5.4 Double Digits performs its work on an hourly basis.
5.5 The services will be provided on the basis of agreements that can be terminated monthly, subject to a notice period of 1 month.
Article 6. Offers and quotations
6.1 All quotations and offers from Double Digits are valid for 30 days. If an offer has a different period of validity, this will be expressly stated in the offer. In that case, no appeal may be made to the general term referred to in the first sentence of this paragraph.
6.2 The offer will be sent digitally by means of a quotation. In its offer, Double Digits will specify which services are offered and which amounts the client owes upon acceptance of the offer.
6.3 Offers and/or quotations may be provided by Double Digits by e-mail or in writing, unless circumstances require otherwise. Double Digits will state in its quotation how it can be accepted. Deviation from the prescribed method of acceptance is only possible if Double Digits agrees to this in advance.
6.4 The client is not permitted to rely on an offer and/or quotation made unless Double Digits determines and/or confirms this. Any valid deviation will always be confirmed by e-mail or in writing. If there is no such confirmation, it shall be understood as non-existent, or at least not valid.
6.5 Double Digits may deviate from its usual rates and will do so in the quotation. Any deviation from the rate shall only apply to the service and/or assignment to which the deviation applies and not to other or future services and/or assignments, regardless of whether they are identical. The client is not permitted to rely on this deviation for other services and/or assignments.
6.6 The client is responsible for the accuracy and completeness of the information provided to Double Digits by the client or by third parties on which the offer is based. If, after the offer and/or quotation, it appears that the information provided by the client is (no longer) correct or is incomplete, Double Digits has the right to adjust the relevant prices and other conditions.
6.7 A composite quotation does not oblige Double Digits to deliver and/or perform part of the services for a corresponding part of the quoted price, unless this is explicitly deviated from and has been confirmed in a manner prescribed by Double Digits.
6.8 Double Digits cannot be held to its offer if the client understands or can reasonably understand that the offer, or any part thereof, contains an obvious mistake, slip of the pen, printing, typesetting or typing error.
6.9 Offers do not automatically apply to assignments other than those stated in the quotation and/or to follow-up assignments.
Article 7. Formation of the agreement
7.1 The agreement is formed after the client has accepted the offer made by Double Digits in a manner prescribed by Double Digits. If the client’s acceptance deviates from the offer of Double Digits, whether or not on minor points, the agreement is formed if Double Digits has agreed to such deviation(s). If the deviations are not accepted, which will take place in a manner prescribed by Double Digits, the client may not demand performance.
7.2 Double Digits will confirm receipt of the acceptance of the offer without delay. Until Double Digits has sent this confirmation, the client may dissolve the agreement. After confirmation, the client can no longer amend or cancel the agreement.
7.3 Agreements become binding upon confirmation by Double Digits, if applicable, or as soon as the latter has commenced performance without objection from the client.
7.4 Amendments to the agreement are only valid if and insofar as they have been agreed between the parties in a manner prescribed by Double Digits. Amendments may result in Double Digits exceeding agreed performance periods within the agreement, which shall be regarded as force majeure.
7.5 If, during the performance of the agreement, it appears that it is necessary for the proper performance of the agreement to amend or supplement it, Double Digits will inform the client of this as soon as possible. The parties will adjust the agreement in a timely manner and in mutual consultation.
7.6 By way of exception to the first paragraph, the agreement is only formed after Double Digits, within the legal framework, has been informed whether the client can meet its payment obligations and of other facts and factors that are relevant for entering into an agreement in a responsible manner. If there are sufficient grounds for refusal, Double Digits has the right not to enter into the agreement, or to dissolve it, or to attach special conditions to the agreement.
Article 8. Provision of information and performance of the agreement/working method
8.1 In addition to Article 6(6) of these terms and conditions, the client is at all times obliged to provide Double Digits, in a timely manner and in the desired form and manner, with all complete and correct information and data that Double Digits, in its opinion, requires for the correct, complete, secure and uninterrupted performance of the agreement. The client guarantees at all times, and is itself responsible and liable for, the accuracy, completeness and reliability of the information and data made available to Double Digits by or on behalf of the client, even if these originate from third parties. Any change must also be communicated without delay. Any inaccuracy shall be at the client’s own risk and shall be attributed to the latter.
8.2 If the agreement has been entered into and it cannot be performed due to a lack of information, the (additional) costs resulting from the delay will be charged to the client.
8.3 After consultation with the client, Double Digits will determine the manner in which the agreement is performed. Double Digits will perform its services to the best of its knowledge and ability, applying sufficient care and craftsmanship. However, Double Digits has an obligation of effort with regard to the services provided and expressly no obligation of result. Double Digits can therefore not be held liable for disappointing results and/or failure to achieve intended objectives. The client must therefore take into account a shift in risk and liability with regard to services provided by Double Digits, including but not limited to:
- The advisory role adopted by Double Digits, which it will provide on the basis of the available data, tools and insights. Any implementation by the client itself or its technical partners, based on advice provided by Double Digits, is at its own risk;
- Double Digits carefully uses AI and scripts in the case of automation & AI to analyse scripts and accelerate recommendations. The client remains responsible at all times for reviewing and approving this automatically generated advice or content.
8.4 As part of its services, Double Digits provides advice and associated strategic choices. These will always be discussed and coordinated with the client. Any decisions taken by the client or by parties other than Double Digits cannot be attributed to Double Digits, making such actions the responsibility of the client and/or the other party.
8.5 Periods within which the agreement is performed are to be regarded as indicative only and not as strict deadlines. Exceeding such a period therefore does not constitute an attributable failure on the part of Double Digits and is not a ground for dissolution of the agreement. If Double Digits exceeds a performance period, the client must give Double Digits notice of default, granting the latter a reasonable period to still perform the services. Double Digits is never obliged to pay any compensation for resulting damage.
Article 9. Third parties and use of third-party tools and platforms
9.1 Double Digits is entitled to engage third parties to carry out (part of) the assignment. These terms and conditions shall also apply to the services and/or products provided by these third parties, with the exception of liability. Any liability arising from errors or delays caused by these third parties shall at all times rest with the third party. Double Digits cannot be held liable for this.
9.2 For the performance of its services, Double Digits uses external tools and platforms, and therefore has no influence on any malfunctions, data loss or changes in algorithms.
9.3 The client indemnifies Double Digits against any liability arising from the external tools and platforms, as well as from the work carried out by third parties, which liability shall at all times rest with those parties.
Article 10. Prices
10.1 All prices charged by Double Digits are in euros, exclusive of VAT and exclusive of other costs, unless stated or agreed otherwise.
10.2 Prices will always be communicated to the client in advance by means of a quotation.
10.3 All work carried out for and on behalf of the client, in addition to the assignment agreed in the agreement, will be regarded as additional work and will be invoiced at the usual hourly rate.
10.4 All prices are subject to printing, typesetting or typing errors. No liability is accepted for the consequences of printing, typesetting or typing errors, and Double Digits is not obliged to deliver the service or product at the incorrect price.
10.5 Double Digits reserves the right to adjust its prices in the interim. The change will not apply to agreements already in progress.
Article 11. Payment and collection
11.1 After completion of the work, Double Digits will send an invoice to the client. In the case of a long-term project, the hours worked will be invoiced every month. In the case of an ongoing collaboration, invoices will be issued at the end of each month for the duration of the collaboration.
11.2 Invoices must be paid within 14 days of the invoice date.
11.3 Payment must always be made in full. Any deviation from the method of payment is initially not permitted, unless Double Digits deviates from this, which deviation must be approved in advance by Double Digits in a manner determined by the latter. If Double Digits has not given its approval, payment must be made in accordance with the provisions of this article or as prescribed in the agreement, whereby, if nothing is stated about this in the agreement, this article shall remain applicable at all times.
11.4 Double Digits may furthermore increase the agreed amount if, during the performance of the work, it appears that the original or expected amount of work was underestimated to such an extent when the agreement was concluded, and this is not attributable to Double Digits, that Double Digits cannot reasonably be expected to perform the agreed work for the originally agreed amount. If necessary, these differences must also be paid by the client immediately.
11.5 Objections to the invoice do not suspend the client’s payment obligation.
11.6 Payment shall be made without any deduction, set-off or suspension on any grounds whatsoever.
11.7 In the event of late payment, Double Digits is entitled to suspend the performance of the agreement with immediate effect or to dissolve it by means of a written statement, without prior notice of default being required. In the case of mandatory advance payment, Double Digits will suspend the performance of the agreement, but the client remains responsible and liable for the payment as well as for any disadvantages and/or damage resulting from the client’s late payment.
11.8 In the event of late or incomplete payment, the client will first receive a written notice of default granting a further period of 14 days to pay in full. This period commences on the day the notice of default is received by the client.
11.9 If no payment is made following the written notice of default referred to in paragraph 8 of this article, the client is in default and Double Digits has the right to charge the client statutory interest and collection costs from the due date until the date of full payment.
11.10 In the event of payment arrears, payments made by the client will first be deducted from the outstanding invoice.
Article 12. Cancellation and suspension
12.1 The services of Double Digits always concern customised work, which means that Double Digits performs an action in consultation with and/or in response to the needs of the client. Cancellation is therefore not possible without further ado.
12.2 If the client wishes to cancel the agreement, the client must pay for the work already performed in full and at once. If any additional costs have been incurred for the assignment, these costs will also be charged and will be immediately due and payable.
12.3 If a third party has been engaged to perform the (partial) agreement, the cancellation costs of this party must be paid in the event of cancellation.
12.4 By way of derogation from the provisions of the previous paragraph, in the event of cancellation related to force majeure, including but not limited to extreme weather conditions, epidemics or pandemics, government measures and/or war, only the costs incurred by Double Digits will be charged to the client.
12.5 Double Digits has the right to suspend the fulfilment of its obligations until all due and payable claims against the client have been paid in full, if (1) the client fails to fulfil the obligations under the agreement, or fails to fulfil them in full, or (2) Double Digits has become aware of circumstances that give the latter good reason to fear that the client will not be able to fulfil its obligations (properly), or (3) the client was asked, upon conclusion of the agreement, to provide security for the fulfilment of its obligations under the agreement and this security is not provided.
12.6 If the client is liable towards third parties for consequences arising from the cancellation and the cancellation was made by the client, the latter shall indemnify Double Digits against these consequences.
12.7 If any damage has arisen as a result of the cancellation by the client, the latter shall be held liable for this damage and must compensate it.
Article 13. Termination and dissolution
13.1 Both parties are permitted to terminate the agreement monthly, subject to a notice period of 1 month.
13.2 The agreement ends automatically in the event of (a) suspension of payments, (b) the client’s business being liquidated, (c) the client’s business being deregistered from the register of (a local) Chamber of Commerce, (d) the client being in bankruptcy or being declared bankrupt. In this case, every outstanding claim becomes immediately due and payable.
13.3 If this agreement comes to an end, all rights and obligations that existed up to the end date shall remain in force. The articles relating to confidentiality and intellectual property rights shall remain applicable after the end date.
Article 14. Force majeure
14.1 If the performance of the agreement becomes impossible due to a cause that cannot be attributed to Double Digits, or as a result of which fulfilment of its obligations cannot reasonably be required of Double Digits, including but not limited to illness within the company or among engaged third parties, disruptions in the computer network or other technical malfunctions, shortcomings of engaged third parties such as suppliers of Double Digits, government measures and/or other external influences not attributable to Double Digits that cause stagnation in the normal course of business within its company, Double Digits is entitled to suspend the performance of the agreement.
14.2 In these terms and conditions, force majeure means: a circumstance that is not due to the fault of Double Digits and that cannot be attributed to Double Digits by law, legal act or generally accepted opinion. In addition to this interpretation of force majeure under the law and case law, force majeure also includes: all external causes, foreseen or unforeseen, over which Double Digits cannot exercise any influence, but as a result of which Double Digits is unable to fulfil its obligations.
14.3 In the event of force majeure, Double Digits will make reasonable efforts to bring about the fulfilment of the agreement or, if desired, to provide an alternative solution.
14.4 If the force majeure situation arises at a time when the obligations of Double Digits have been partially fulfilled, Double Digits is entitled to invoice the part already fulfilled. The client is obliged to pay this invoice as if it were a separate agreement.
14.5 From the moment the force majeure situation has lasted at least 30 days or is permanent in nature, both parties may (partially) dissolve the agreement by means of written notice, without judicial intervention, without the parties being entitled to any compensation.
Article 15. Liability and indemnification
15.1 Double Digits is only liable for direct damage suffered by the client if there is an attributable failure in the performance of the agreement by Double Digits. The amount to be compensated shall never exceed the amounts invoiced or to be invoiced. Indirect damage and/or damage suffered by third parties is excluded.
15.2 Double Digits is never liable for damage caused by engaged third parties, including but not limited to the suppliers of the tools and platforms.
15.3 If the client demonstrates that it has suffered damage as a result of a serious attributable failure on the part of Double Digits arising from or related to the performance of the agreement, the liability of Double Digits is limited solely to the direct damage, up to a maximum of the amount paid out in the relevant case under the liability insurance taken out by Double Digits. If the insurance does not provide cover or does not pay out, the liability is limited to a maximum of the amounts invoiced or to be invoiced.
15.4 Double Digits is only liable for direct damage. Direct damage is understood to mean exclusively:
- the reasonable costs of determining the cause and extent of the damage, insofar as the determination relates to damage within the meaning of these terms and conditions;
- any reasonable costs incurred to make the defective performance of Double Digits conform to the agreement, insofar as these can be attributed to Double Digits;
- reasonable costs incurred to prevent or limit the damage, insofar as the client demonstrates that these costs have resulted in limiting direct damage as referred to in this article.
15.5 Double Digits is not liable for damage caused by, including but not limited to, incorrect or incomplete information provided by or on behalf of the client, careless or incorrect handling of the service/product, and consequences arising from non-payment and/or failure to cooperate.
15.6 A claim for compensation must be submitted by the client in accordance with the complaints procedure in Article 18 of these terms and conditions.
15.7 The provisions of this article apply except in the case of intent or gross negligence on the part of Double Digits.
Article 16. Indemnification
16.1 In view of the fact that Double Digits must use tools and platforms of third parties for the performance of the services, and Double Digits has no control over their functioning and security, the client shall indemnify Double Digits against the following, including but not limited to:
- Use of AI tools or automated systems over which Double Digits does not have full control with regard to source references or copyrights.
- Malfunctions or errors in equipment, software or internet connections;
- Malfunctions, bugs or limitations in third-party software or applications (such as Google, Ahrefs, Screaming Frog, Sitebulb, Looker Studio, ContentKing, Cloudflare, etc.);
- Hacked accounts or unauthorised access to systems or tools;
- Infringement of copyrights or intellectual property rights of third parties caused by the client;
- Loss, damage or incorrect use of data due to errors in scripts, integrations or automations;
- Incorrect or incomplete reports as a result of data loss or incorrect connections between sources;
- Delays or damage caused by changes in algorithms, APIs or working methods of external platforms (such as Google or social media);
- Temporary negative impact on SEO results due to incorrect implementation of redirects, structured data or robots settings;
- Unforeseen security breaches, data leaks or hacking of third-party tools or accounts;
Article 17. Confidentiality
17.1 The parties may obtain access to confidential information. Such information is regarded as confidential if it has been designated as such by one of the parties or if the requirement of confidentiality follows from the content of the information concerned.
17.2 The parties are bound to secrecy for a period of 5 years with regard to information from the other party which they know, or can reasonably be expected to know, is of a confidential nature, and are not permitted to share and/or disclose such information to third parties. An exception applies if the information concerned was already known before it was shared with the recipient, if laws and regulations require disclosure, or if this is necessary for the proper performance of the agreement.
17.3 The party receiving confidential information shall only use it for the purpose for which it was provided.
17.4 The parties must handle the information that one party receives from the other with care. At the request of the owner of the information, the receiving party must immediately return or destroy the documents.
Article 18. Complaints procedure
18.1 Complaints regarding the performance of the agreement or the services/products delivered must be reported to Double Digits in writing within 14 days of performance and at the latest upon finalisation; however, if the client can demonstrate that it could not reasonably have discovered the defect earlier, the client is permitted to report any defect to Double Digits within 6 months at the latest.
18.2 Complaints do not suspend the client’s payment obligation.
18.3 The complaint or any notice of default regarding the failure of Double Digits must be described in as much detail as possible. After the stated period, complaints will no longer be processed. All consequences of not reporting immediately are at the client’s risk.
18.4 Double Digits will confirm receipt of the complaint within 14 days and must then be given the opportunity to reasonably investigate the complaint and, if necessary, correct it. In the case of a well-founded complaint, Double Digits will consult with the client to reach an appropriate solution.
18.5 The client is never entitled to a full refund of the agreed or paid amount, unless there is a serious attributable failure on the part of Double Digits. Any price reduction is at all times at the discretion of Double Digits and the client may not invoke this.
Article 19. Applicable law and competent court
19.1 All legal relationships between Double Digits and the client, as well as any disputes arising therefrom, are governed exclusively by Dutch law.
19.2 Subject to mandatory statutory provisions, the Dutch court in the district of Arnhem-Leeuwarden has exclusive jurisdiction to hear any disputes between the parties.
